Terms and Conditions for Tier One Services

By accessing, using, or purchasing any services from Tier One Services ("we," "us," "our"), you ("customer," "subscriber," "you") agree to be bound by these Terms and Conditions. PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES.
1. ACCEPTANCE OF TERMS
By creating an account, making a purchase, or using our services, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree to these terms, you must not use our services.
2. SUBSCRIPTION SERVICES AND BILLING
2.1 Subscription Plans
Subscriptions are available on monthly or annual billing cycles
All subscription fees are stated in U.S. dollars
Pricing is subject to change with advance notice as outlined in Section 8
2.2 Free Trials
Free trials, when offered, are limited to new customers only
AUTOMATIC CONVERSION: Free trials will automatically convert to paid subscriptions at the end of the trial period unless you cancel before the trial expires
You will be charged the full subscription price immediately upon trial expiration
CANCELLATION DEADLINE: You must cancel at least 24 hours before your trial expires to avoid charges
Trial conversion charges are non-refundable
2.3 Recurring Billing and Auto-Renewal
YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AND YOU WILL BE CHARGED THE APPLICABLE SUBSCRIPTION FEE AT THE END OF EACH BILLING CYCLE UNLESS YOU CANCEL YOUR SUBSCRIPTION BEFORE THE RENEWAL DATE.
Automatic Renewal: All subscriptions automatically renew for successive periods equal to the original subscription term
Payment Authorization: By subscribing, you authorize us to charge your payment method for all applicable fees
Billing Date: You will be charged on the same day each billing cycle as your original subscription date
Payment Failure: If payment fails, we may retry charging and may suspend your account
3. CANCELLATION POLICY
3.1 How to Cancel
You may cancel your subscription using any of the following methods:
Log into your account and use the cancellation feature in account settings
Email us at [email protected] with "CANCELLATION REQUEST" in the subject line
Call our customer service line at 470.470.4604 during business hours
3.2 Cancellation Timing and Effect
Timing: Cancellations must be submitted before 11:59 PM EST on the day before your next billing date
Effective Date: Cancellations take effect at the end of your current billing period
Access: You retain access to services until the end of your paid period
No Partial Refunds: You will not receive a refund for any unused portion of your subscription period
3.3 Cancellation Confirmation
We will send email confirmation of your cancellation within 24 hours. If you do not receive confirmation, contact us immediately.
4. REFUND POLICY
4.1 No Refunds Policy
ALL SUBSCRIPTION FEES, INCLUDING TRIAL CONVERSION CHARGES, ARE FINAL AND NON-REFUNDABLE, EXCEPT WHERE REQUIRED BY LAW.
This no-refund policy applies to:
All recurring subscription charges
Trial conversion charges
Upgrade and downgrade fees
Taxes and processing fees
4.2 Limited Exceptions
Refunds may be considered only in the following circumstances:
Technical service outages exceeding 72 consecutive hours due to our fault
Billing errors initiated by our system
Where required by applicable law
4.3 Chargeback Protection
IMPORTANT: Initiating a chargeback or payment dispute instead of following our cancellation process may result in:
Immediate account termination
Collection efforts for unpaid balances
Reporting to credit agencies
Legal action for damages and fees
5. NOTIFICATION REQUIREMENTS
5.1 Contact Information Updates
You must maintain current contact information in your account
We are not responsible for failed notifications due to outdated contact information
5.2 Service Notifications
We will provide important notifications via:
Email to your registered email address
SMS to your registered phone number
In-app notifications
Account dashboard messages
5.3 Billing and Renewal Reminders
We may (but are not required to) send renewal reminders
Lack of reminder does not affect your billing obligations
You are responsible for tracking your billing dates
6. PAYMENT TERMS
6.1 Payment Methods
We accept major credit cards, debit cards, and other approved payment methods
You must provide accurate, current payment information
You authorize us to store your payment information securely
6.2 Payment Processing
Payments are processed by third-party payment processors
Processing fees may apply and are non-refundable
Failed payments may result in account suspension
6.3 Taxes
All prices are exclusive of applicable taxes
You are responsible for all taxes related to your subscription
Tax rates may change without notice
7. ACCOUNT RESPONSIBILITIES
7.1 Account Security
You are responsible for maintaining the confidentiality of your account credentials
You are liable for all activities that occur under your account
Notify us immediately of any unauthorized account access
7.2 Prohibited Uses
You agree not to:
Share account access with unauthorized parties
Use the service for illegal or unauthorized purposes
Attempt to circumvent payment or security measures
Create multiple accounts to abuse trial offers
8. CHANGES TO TERMS AND PRICING
8.1 Terms Modifications
We may modify these terms at any time
30-day notice will be provided for material changes
Continued use after changes constitutes acceptance
8.2 Price Changes
We reserve the right to modify subscription pricing
30-day advance notice will be provided for price increases
Price changes take effect at your next billing cycle
If you do not agree to price changes, you must cancel before the effective date
9. SERVICE AVAILABILITY AND MODIFICATIONS
9.1 Service Changes
We may modify, suspend, or discontinue services at any time
We will provide reasonable notice when possible
No refunds will be provided for service modifications
9.2 Maintenance and Downtime
Services may be temporarily unavailable for maintenance
We will minimize planned downtime and provide advance notice when possible
10. TERMINATION
10.1 Our Right to Terminate
We may terminate or suspend your account immediately if you:
Violate these terms
Engage in fraudulent or illegal activity
Initiate unauthorized chargebacks or payment disputes
Fail to pay subscription fees
10.2 Effect of Termination
Upon termination:
Your access to services ends immediately
All unpaid charges become immediately due
These terms survive termination where applicable
11. DISPUTE RESOLUTION
11.1 Informal Resolution
Before initiating formal proceedings, you agree to:
Contact our customer service team
Allow 30 days for resolution attempts
Provide detailed information about your concern
11.2 Arbitration Agreement
ANY DISPUTE WILL BE RESOLVED THROUGH BINDING ARBITRATION, NOT COURT LITIGATION, EXCEPT FOR SMALL CLAIMS COURT MATTERS UNDER $10,000.
Arbitration will be conducted under American Arbitration Association rules
Location: North Carolina
Individual claims only (no class actions)
11.3 Waiver of Rights
BY AGREEING TO ARBITRATION, YOU WAIVE YOUR RIGHT TO:
A jury trial
Participate in class action lawsuits
Appeal arbitration decisions
12. LIABILITY LIMITATIONS
12.1 Service Warranty Disclaimer
SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
12.2 Limitation of Damages
OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.
12.3 Exclusions
We are not liable for:
Indirect, incidental, or consequential damages
Lost profits or business opportunities
Data loss or corruption
Third-party service interruptions
13. GOVERNING LAW AND JURISDICTION
These terms are governed by North Carolina law
Any disputes not subject to arbitration will be resolved in North Carolina courts
You consent to personal jurisdiction in North Carolina
14. ADDITIONAL PROVISIONS
14.1 Entire Agreement
These terms constitute the entire agreement between you and Tier One Services regarding your use of our services.
14.2 Severability
If any provision is found unenforceable, the remaining provisions remain in full force and effect.
14.3 Assignment
We may assign these terms without notice. You may not assign your rights or obligations.
